To me it looks like he is forming a "better for you" company with other HAIN friends.  To me they are raising money to go after the CBD wellness category in the US .  They are using the words CBD in the prospectus but this is my feeling. 

 


An interesting way to look at it is they raise more capital in another company and not dilute APHA and go after an acquistion.
