NOTICE OF CHANGE OF AUDITOR

Re: Argex Titanium Inc. (the “Corporation”)

The Corporation and BDO Canada LLP (“BDO”) have agreed that BDO would resign as the Corporation’s auditor effective February 19, 2016 (the "Resignation"). Pursuant to the Canada Business Corporations Act, the directors are entitled to fill any casual vacancy in the office of the auditor and have appointed KPMG LLP (“KPMG”) as the Corporation’s auditor in the place and stead of BDO until the close of the next annual general meeting of the Corporation.

In accordance with National Instrument 51-102 ("NI 51-102") we confirm that:

  1. a)  BDO and the Corporation agreed that BDO would resign as auditor of the Corporation. This

    has resulted in the appointment of KPMG;

  2. b)  BDO has not expressed any reservation or modified opinions in its reports for the two most recently completed fiscal years of the Corporation, nor for the period from the most recently completed period for which BDO issued an audit report in respect of the Corporation and the date of this Notice;

  3. c)  The resignation of BDO and appointment of KPMG as auditor of the Corporation were considered and approved by the board of directors of the Corporation on February 19, 2016;

  4. d)  There was no "reportable event" cited by BDO in connection with the audits of the two most recently completed fiscal years of the Corporation, nor any period from the most recently completed period for which BDO issued an audit report in respect of the Corporation and the date of this Notice; and

  5. e)  The notice, resignation and confirmations of BDO and KPMG have been reviewed by the board of directors of the Corporation.
