o FSD Pharma Inc.: Auxly entered into a definitive agreement with FSD Pharma Inc. (formerly FV Pharma Inc.) (“FSD”), to develop FSD’s cannabis cultivation facility at the former KRAFT^® food manufacturing facility in Cobourg, Ontario. The design and construction budget and timeline for the retrofit of the first 220,000 square foot phase of the facility was presented by Auxly and approved by FSD and construction is currently underway. Auxly retains the right to offtake 49.9% of the product produced at any portion of the FSD facility that is developed in partnership with Auxly.
