Rockcliff Metals Corporation is a Canada-based exploration and resource company. The Company is engaged in the acquisition and exploration of mineral properties in Manitoba, Canada. Its projects include Tower Property, Rail Property, Bur Property and Talbot Property. Tower property hosts the tower deposit, a polymetallic copper (zinc-gold-silver)-rich volcanogenic massive sulphide (VMS) deposit. Tower Property is in the Flin Flon-Snow Lake district of west central Manitoba approximately 500 Kilometers(kms) northwest of the city of Winnipeg and 50km southwest of the town of Snow Lake. Rail property is engaged in polymetallic copper (zinc-gold-silver) rich VMS deposit. The Rail Property is in the Flin Flon-Snow Lake district of western Manitoba, approximately 700 km north-northwest of the City of Winnipeg. Bur Zone Project is located approximately 145 km east-northeast of Flin Flon, Manitoba. Talbot Deposit is hosted in Paleoproterozoic rocks of the Trans-Hudson Orogen (THO).

No Contact, Why?It's only been one business day since I sent an e-mail to derek@olive-resource.com. But he didn't reply and I don't expect one. I will share, if one does come later. I have no idea if any other shareholder has had any recent luck contacting the company. But I doubt it.

Please correct me if I am wrong.

It seems like there is some kind of news blackout from the company for some reason.

Our investment likely continues to remain on a sound financial footing with the continuing backing of Greenstone and Olive Resource Capital who both appear to be remaining strongly committed to Rockcliff Metals.

No doubt, the company would prefer that other financial backers might get involved. But to date, no private placement effort has yet been announced. Perhaps one may be coming?

Red Cloud's services could be used in such an effort. But raising the needed capital is all that really matters!

In my mind, the retail investor buying Rockcliff shares is simply following the lead of the majority shareholders who also happen to sit on the Rockcliff Board.

The last private placement was made by Greenstone at 3 cents. So one would logically conclude that most reasonable retail shareholders would be unwilling to pay any more than them.

Since the present price is trading at the 3 cent level, one might perhaps expect that the next private placement would be made a slight premium to present price. If it were to be made at a premium of around 16% to the present price of 3 cents, then we might expect that the company would issue shares at a price point at 3.5 cents. I doubt that any of them would be willing to pay any more.

Then, we might assume that the retail investor would be then willing to accept that same level of risk and then the share price could rise, solidly to that same 3.5 cent level.

Hopefully, from everyone's financial perspective, including Greenstone and Olive, Rockcliff may have recently received some reasonable offer for their company.

What might that be? The market cap is almost 12 million at 3 cents with almost 389.59 million shares owned in the public market. That's a lot of shares for any explorer to have issued.

So if the company were offered 9 or 10 cents, it might be accepted, since raising additional exploration capital might be proving difficult to obtain.

A 9 cent offer would provide shareholders with a 200% gain from the present market price. If such a bid would be extended to any larger company in the public market, it would be considered quite a windfall for the shareholders of any such company!

A 9 cent offer would provide a market cap cost of 35 million to the bidder. Heck, even a company as cheap as Hudbay might be prepared to pay that small amount of funds.

Consider the cost of many more months or years of exploration on Rockcliff's properties during these difficult market conditions, which are not likely to dissipate soon. China is struggling and the West is still many years away from any serious demand for significantly larger amounts of copper  or even lithium.

Raising the sufficient amount of dollars needed to fund many more years of drilling on Rockcliff properties may now be considered by the corporate insiders as a prohibitive amount to spend. So they may now be looking intensively to strike a deal. And it's about time, if they are!

Ken has spent many multi-millions of dollars on Rockcliff Copper and the newer alias namesake Rockcliff Metals, over many long years. He has never founded any mine in Snow Lake! It may not be entirely his fault but this is not a good rate of success for any exploration manager.

Hudbay has not been a good exploration partner with whom to have made at least one, very poor deal. (Talbot had no expiration date on the operator's time frame to bring that mine into production).

Ouch, that must have hurt! Hudbay must have LIAO after signing that deal!

It may be that Rockcliff is almost out of funds. So the company may be seriously considering the present day, best course of action!

Workers need to be paid! And I am sure that Ken Lapierre would be unwilling to accept shares or stock options in lieu of a salary. (I doubt that he has personally bought any Rockcliff shares, for many long years).

Is there any exploration actually happening now? Maybe or maybe not. Hopefully some press release may be issued soon!

We may need to have more reasonable expectations for our investment. I am convinced that even the majority shareholders may now be seeing a similar light. Maybe they will indeed get a better price, but I doubt it.

                                          In the meantime, do yourself a favour.

                          Try not to pay any more than them, until we get better news!

                       But that shouldn't be a problem with all the available asks, now at 3 cents!

                                       If you are not willing to wait! Keep on selling!

                                           Rockcliff is worth at least that much!

              If a take over bid is coming, we will have to wait and see, for whatever they can get!

    I hope that Ken doesn't consider this post, just another useless source of trivial misinformation.

                          But perhaps the company should give us some of the real news?

                               Not the fake stuff that we need to create for ourselves! LOL

                                The timing of the next press release is up to them!

                            Most of us are willing to wait, if only, just a little bit longer!

                                          Hope springs eternal! But not the rest of us!
