help me interpret part of today's Press Release :

"The reporting person has agreed to pay to the Issuer $36,214.60, representing the total amount of profit realized in connection with the short-swing sale transaction on April 25, 2022, reported herein, less transaction costs.2. Canadian purchase price of C$0.6503 was converted into U.S. dollars using an exchange rate of C$1.2758 = US$1.00.3. A corporation wholly owned by the reporting person.4. Trust controlled by the reporting person.


Does this mean that an  iinsider on the board has  been shorting the stock, and for a $36,000 profit on the sale? With backers like this, no wonder the stock is going nowhere. Also, this was done in late April. Is the reporting of the transaction wihin the rules and regulations of the SEC?
