Contingent payment to Highlands shareholders

Conditions for the extra $6M to highlands shareholders appears to have been met over the last couple weeks so that is no longer available to the spin-off company.  Another reason to vote NO

Yep, lots of reasons to vote NO. I hope the institutionals pound them with a NO just as hard as retial holders plan to do. Either that or increase the offer!
