Responsibilities
The Compensation Committee will have the follows duties, consistent with applicable law, the
rules of the SEC and applicable Canadian securities regulators, and the rules of the TSX Venture
Exchange and the rules of any other stock exchange on which the securities of the Company are
then traded:
