Another interesting update on GBLE

This time regarding their main promoter- Don Dyer

Regarding Don Dyer

The BC Securities Commission’s (BCSC) five day hearing about Don Dyer’s allegedly illegal sales of Global 8 private placement shares opens in Vancouver on Friday, Sept 30, 2011. Almost all of these transactions were made from the BC office of Global 8, which moved from downtown Langley, to Burnaby, and finally to the Branconnier property in Langely 2006-2009. Dyer's association with Rene Branconnier goes back much further than that.

He was the cook on a commercial fishing vessel when Branconnier started up Thermo Tech (TTTI) in 1987. A former crewmate, Brian Syntak, recalled that all Dyer would talk about was RB's "hot stock". Syntak was eventually persuaded and made a profit when the price jumped up to around $14.75. (Vancouver SUN reporter David Baines wrote that the increase was due to a gullible widow who had been persuaded to invest $12 million.)

Dyer's memories go back to the days when Thermo Tech started up in a garage. Rene's daughters - Jolene, Teresa and Tina - all worked there. So did RB's nephews Chad Burback and Dean Branconnier, who went to become managers when TTTI was large enough to operate facilities.

Dyer was handling Thermo Tech's public relations by the mid 1990's. He remembers the group of dissident shareholders that tried to oust Branconnier in 1998 and the fire that burned down the newly opened Richmond plant the following year. Some local farmers utilized the left waste, only to find they had contaminated their fields . Dyer insists the farmers didn’t have permission, though they allegedly hauled away 149 truckloads from the plant (see bottom half of linked article). Baines phoned not long after that and, in the closing lines of a long expose, quotes Dyer as saying, "We are turning the corner now. Unfortunately, we had a fire in the the Richmond plant. Otherwise our whole company would be profitable now."

Baines claims that investors lost more than $80 million when Thermo Tech crashed.

Dyer blames this on the Malaysian company “Firmaplus” that acquired Thermo Tech in January 2001. He seems to have forgotten that the company was under a Cease Trade Order and trading for only 2 cents.

The Malaysians had a very different version of these events. They sued Rene Branconnier, who they claim was both “the operating mind and controlling force” behind “a number of in a number of unauthorized and illegal activities” that cost them “millions of dollars”. These ranged from “fraudulent misrepresentations to induce Firmaplus to enter the share purchase agreement in conjunction with the reverse take-over of TTTI in January 2001” to “ unauthorized payments of TTTI funds in the millions of dollars to Mr. Branconnier, his wife Sharon ....” and their associates. (see the list of allegations in paragraph 10 of the attached).

Dyer has said the judge threw their suit out of court, but the case actually dragged on for three years. The turning point came during the 2003 hearing, when a judge concluded that this matter was very complex and demanded that Thermo Tech put up a $170,000 bond. (paragraph 22 of the attached) Thermo Tech didn't have the money and subsequently withdrew.

Braconnier's new company, now known as Global 8, was among the defendants.

Don Dyer started working for Global 8 in 2002. Milverton's preliminary proxies state he was the President of Pacific Ocean Resources Corp (PORC), but contemporary records show that PORC was still one of Rene Branconnier's private companies and RB was the President up until September 2004. The transfer of ownership occurred around the time that three shareholders sued PORC, Global 8 and the Branconniers for the alleged fraudulent representations made to secure investments totalling $255,000.

Pacific Ocean Resources was supposedly an independent company, but more than one of us remember Dyer referring to RB as "the Boss" and on page 5 of Milverton's proxy you will find the curious admission that "Mr. Dyer has, at times, served as a consultant to Milverton Capital and the Company in the area of public and investor relations as an employee of Pacific Ocean Resources. "

Dyer talked his old crewmate Brian Syntak into investing $70,000 US around 2005. Syntak claims he didn't examine the "loan agreement" closely and they didn't tell him the loan was to be repaid in shares. Rene Branconnier refused to give his money back. The resulting disruption ended Syntak's friendship with Dyer and spilled over into one of David Baines 2006 columns.

Most of us remember Don Dyer as a pleasant sounding gentleman who was constantly trying to sell us shares before Global 8 signed some hot deal. Many forgave him the first few times these deals did not materialize, but some disgruntled investors started posting items to a public bull-board (Raging Bull).

Now the BC Securities Commission is holding a five day hearing into the allegedly illegal sales of Global 8 shares by Don Dyer/Pacific Ocean Resources Corp (PORC). This will take place in Vancouver September 30, and October 3 to 5 and 7, 2011. Mr Dyer was reputedly not registered to sell securities, nor had he filed a prospectus with the BCSC, when he allegedly collected $836,000 from approximately 85 investors, between November 2005 and July 2009. If found guilty he could be forced to pay a heavy fine and/or be prohibited from working in the securities market.
