FACTS:

October 16, 2009, email from Daniel Wolf to Julio Ferreira carbon copied to Tad Simmons stating “[what] do you mean, “Advice about this email”? No, it’s not everything or nothing. It’s “do what we need to do and follow through and we get what we get.”[1]

October 16, 2009, email from Dan Wolf to Julio Ferreira carbon copied to Tad Simmons. Telling Julio to ignore email request from Chad Burback for internal report. “Don’t worry about it; ignore it – we’ll come up with a witty response. I suspect that the board will be able to give Chad instructions that he will refuse, which will justify his being fired. Of course we can fire him anyway, pleasure of the Board and all that, unless he’s got a contract (but with whom?), but it’s better to have a reason that is defensible on stronger grounds than simple Board preference. If any evidence turns up of illegalities/fraud, of cof course he can be thrown off the board.”[2]

October 16, 2009, email from Daniel Wolf to Julio Ferreira, Chad Burback. “He’s a nice son of a $$$$$, isn’t he? A single director does not have the authority he is asserting. Tad, I suggest what we write a very nice letter kicking this up to the board, with some interesting language about requiring full and unlimited access to all business record, from Day One.”[3]

October 16, 2009, Dan Wolf forward email to Julio Ferreira regarding his resignation. Dan asks if this is effective immediately. Tells Julio to “check my extra language: Do you want to resign as President also?[4]

October 16, 2009, Dan Wolf sends Julio Ferreira email that the information Chad is requesting (copy of Julio’s alleged internal control report) should be put as an item on the next meeting and “commanding the CFO to do the review that Chad is demanding and more...”[5]
