GTEC Holdings acquisition of 1203648 B.C.
The TSX Venture Exchange has accepted for filing a share purchase agreement dated April 10, 2019, between GTEC Holdings Ltd., GreenTec Retail Ventures Inc. (GRV), 1108343 B.C. Ltd., Kale Kondra, David Wright, Norman Singhavon, Global Cannabis Consultants Inc. and Matt Fraser, whereby GRV, a wholly owned subsidiary of the company is acquiring all of the issued and outstanding shares of 1203648 B.C. Ltd. Consideration is $47,705.75 cash, $2,294.25 debt forgiveness and 3,438,333 common shares distributed on a pro rata basis to the vendors. Fifty per cent of the shares will be distributed on closing and the balance will be held in escrow to be released on or before 12 months from close if certain escrow conditions are met.
