Friendly deal at $1.00 is highly unlikely given the following quote from HYD, stated after the $1.37 deal break:

“the proposed purchase price was at the low end of a range of value using accepted business valuation methods,” Hyduke stated, “and in fact was below the fair value” of the company’s net assets"

I don't think they'll take under $1.37 (book value).  I am doubtful whether another bidder will come along (they had since June 21 and no interlopers emerged).
