So that  begs the question as to why we are being  sold at this point.  Very very short term vision here  -and thats a very significant change in direction from managements vision.

Its not like this deal is providing better security of ones investment. 

Its not a good deal for ITC - Tracy will likely be gone and that will diminish the relationship with Qualcomm to some degree.

Its ultimately a good way for someone who wants to dump a bunch of shares.
