(b) Section 1.1(jjjj) of the Definitive Agreement is hereby amended by deleting the definition

of “Outside Date” in its entirety and inserting the following as Section 1.1(jjj) of the

Definitive Agreement: 

“Outside Date” means December 31, 2019 or such later date as may be agreed to

in writing by the Parties;” 

(c) Section 1.1(oooo) of the Definitive Agreement is hereby amended by deleting the

reference to “Private Placement” in its entirety and inserting the following as Section

1.1(oooo):

“Private Placement” means the private placement of Bravio RTO Private

Placement Securities in the aggregate gross proceeds of no less than $1,200,000,

unless otherwise agreed to by the Parties in writing to be completed on or prior to

the Effective Date;”
