Proven Resources ( LVN ) vs NO Resources ( DSV )

I am a large shareholder ( 2+ million shares ) of LVN and can't figure out why no-one is talking about what each of these companies is bringing into this proposed transaction...

Levon has proven they have : 400+ million oz of Silver, 1.27 million oz of Gold, 8 billion pounds of Zinc, etc   Discovery has proven they have diddly squat !!!

In my mind, I think any Levon shareholder that votes to proceed with this transaction would have to be crazy - am I wrong ?  You guessed right if you think I am voting AGAINST this transaction...

I emailed some questions to Levon and I am awaiting their responses.

I am with you on this myself.  I have over 500,000 shares and wondering the same thing.  What is DSV bringing to the table other than just new faces?  I thougt we had enough cash to weather this downturn in the metals for the next 2 years!  By then imho metal prices will be much higher!   We have a massive resource here and current management is just going to give it ...more

Hi cbew, I am glad I am not the only one thinking... this way ! I will post the Questions I emailed to Levon - I am still waiting for a response ( email was sent May 31 2019 ).

Clearly, DSV is taking advantage of the fact that the total market cap of their company is about the same as Levon's to propose a merger of equals (LVN receives no premium to their share value in this merger). So, what does DSV bring to the table? I guess the market considers their exploration properties potentially lucrative? They are in a stable of companies that have access to financing and ...more

YES, they are taking advantage of the situation of the day... BUT that does not mean we have to accept this incredibly ridiculous offer !!! I wouldn't accept a .99 conversion to give up what we have !!! compared to their non existent resources. Just vote NO to this proposal !!!
Comment by DSAENT on Jun 01, 2019 3:38pm
Obviously you are NOT a shareholder or ??? How could anyone in their right mind think this proposal has ANY benefit to Levon Shareholders ??? We, as Levon Shareholders, are bringing 100% of the Resources, yet only getting 49% of the combined company - if YOUR math is that bad sell your shares into the market at " the bid " and good riddens to you... As I have stated earlier I would not ...more

Question is, "how do you contact stockholders with the majority shares and convince them?" I'm for one is with you. I guess this Board is a starting point.

I was under the impression Ron Tremblay owned 20% of Levon, but I could be wrong. According to the Proposal, Victor C. Chevillon is NOT allowed to vote his shares... so that takes 1.4 mil off the table for voting.

I have 300,000 for the no vote. Further Levon's IR person may be out of work. They seem to have left him out of the loop. Is it just me or does this feel like the board just wants to get out regardless of price. I could understand this better if there is a cash infusion from Discovery to further the drill program. Is it my understanding that they have to pull in 90% of the shares to force a ...more

I hope there is another proposer because rejecting this one is a no-brainer imho.
Comment by DSAENT on Jun 04, 2019 5:18am
I sent an email to the IR email address for Levon, as posted in the Transaction anouncement, on May 31 and have not gotten a response as of yet. IF we do not hear from someone at Levon maybe we can stop this in its tracks by contacting the exchanges we trade on ???
