PMI isn't tendering their shares so they don't get a vote, and either does the acquirer Mitsubishi Tanabe. That means its up to the remaining ~50% of shareholders to decide whether $1.16 per share is a fair and reasonable price and vote accordingly.

I for one don't feel that we are being adequately compensated. There is a significant amount of upside that we would be giving up at $1.16. Selling the company for anything under $500 million is essentially giving it away for a song and a dance.

We have a game changing state-of-the-art technogy, and there are other players that can be interested. Remember the "top-10 pharma company" that is still unknown. There is still a significant number of catalysts to drive the stock higher - phase 2 results, phase 3 results, partnerships, signing MOU's and contracts. This is still early days for MDG. The way I look at it is that this is the opening bid and MDG is now officially in play. 

Don't sell, vote against it, and lets all make some real money.
