Question on price

Question on priceI've got a question on this MTSB offer. If MTSB felt theirs was a fair offer price ($1.16) then why the provision of "right of first refusal" in the event of a counter offer and the penalties incurred should MDG back out of the transaction? To me that sounds like someone prepared to offer more if it came down to  it. I'm also inclined to believe something is rotten in the state of Denmark.

Any thoughts?
