SPA sale purchase agreement has tobe rejected by the courts
My argument
monitor has to be independent .impartial,unbiased at all costs .
monitor is the one who approves and evaluates the merits of the sale purchase agreement .
the court should consider, among other things, the following factors:
- whether Pwc can independent since the head of IQ who purchases nmx was one of their directors for many years .
- whether the monitor approving the process leading to the proposed sale or disposition is valid at all .
- whether the process leading to the proposed sale or disposition was reasonable in the circumstances;
- whether the consideration to be received for the assets is reasonable and fair, taking into account their market value . 4 bn $
there are some points to be made that this sale purchase agreement is invalid or illicit .
