Why make it that way? Maybe because they think there's a large chance of failure so by keeping it secret, they don't risk the bad pub. You just put out a vague statement somewhere down the line that you "couldn't reach agreements" and you'll continue to "explore all options to increase value" blah blah blah. I'd bet that's what's coming.
The minute NVS and it's counterparty had the framework of a deal set, the stock would start to move. Whether insider trading is legal or not, the word would leak one way or another. The fact that it's just sliding downward isn't a good sign imo.
