material information withheld?

How can a company go 5 months without informing investors that they would go into receivorship if there wasn't an infusion of cash and that this elaborate change of management/ ownership was not material?

Last I heard was someone had spoken to Mr. Hansen and he was optimistic about new financing and then nothing for 5 months. ( check postings from 5 months ago on the message board)

I guess the plan is for Slavik to basically start over and get new investors to come in. Massive dilution but at least it would save the company from bankruptcy if he is successful. They will probably go for hard rock targets as opposed to the alluvial mining.
