Term Sheet Announcements

  Could someone on this board please explain if there is a regulatory need or legal requirement for this company to announce the signing of a term sheet on possible funding? The September 7, 2010 announcement looked suspicious to me because the lending party wasn't named but then to cancel it  on December 28, 2010 and announce a second, similiar term sheet looks even more suspicious. I've heard analysts say to stay away from the OTCBB because it is poorly regulated but I haven't heard anything about the other exchange (i.e. the Stuttgart exchange).
