SILVER FIELDS APPLIES FOR REINSTATEMENT TO TRADING
Silver Fields Resources Inc., as part of the reinstatement for trading process, wishes to update the issues as outlined.
The company disclosed on Sept. 12, 2013, that the company granted 700,000 stock options at a price of five cents. In effect, due to a typographical error regarding the expiry date of the options, the options were not issued. Management is now reviewing the issuance and will be reissuing the options upon approval of the TSX Venture Exchange.
The company announced the offering of a private placement for securities on Dec. 19, 2013. The 30-day price protection lapsed as of Jan. 18, 2014, and the decision was made not to continue with the offering.
The company will be holding a general and special annual general meeting on Friday, Sept. 23, 2014, in the boardroom at suite 900, 555 Burrard St., Vancouver, B.C., V7X 1M8, at 9 a.m. The record date is July 25, 2014.
The company accepted the resignation of Karen Robertshaw as chief financial officer and corporate secretary, effective May 1, 2014. Dr. Colin Bowdidge, a director of the company, has assumed the position of CFO.
Since the revocation of the cease trade orders issued against the company, it has been working with the exchange to have its shares reinstated to trading, and has been advised that the shares of the company will be transferred to the NEX board of the exchange and reinstated to trading effective the opening of Aug. 20, 2014. The symbol will be "SF.H."
NEX is a separate board of the TSX-V. NEX is designed for companies previously listed on the TSX-V or Toronto Stock Exchange that have failed to comply with the continuing financial listing standards of those markets. NEX provides a trading forum for publicly listed shell companies while they seek and undertake transactions, which will result in the company carrying on an active business.
