The Company's wholly owned subsidiary Simply Mac, Inc. has separately commenced bankruptcy proceedings by filing a voluntary petition for relief under the provisions of Chapter 7 of the Bankruptcy Code. The assets of the Company shall be liquidated in accordance with the Bankruptcy Code. The Company has no business operations.
