The TSX Venture Exchange has accepted for filing the documentation with respect to a brokered private placement, announced on June 4, 21, Aug. 19, and Sept. 18, 2013.

Shares:  26.7 million

Price:  10 cents

Warrants:  26.7 million warrants to purchase 26.7 million common shares

Exercise price:  18 cents for a period of 24 months following the closing of the private placement

Placees:  23

Insiders:  Richard Laberge 3.85 million; Nicholas Routhier 3.95 million; Eric Choquette 100,000

Agent's fee:  Global Maxfin Capital Inc. received $150,750 cash as well as 1,377,000 warrants, each entitling the holder to acquire one common share of the company at a purchase price of 10 cents for a period of two years from the date of issue.

If Routhier, LaBerge, Choquette and the Caisse bought a combined 14.4 million shares,that leaves 12.3 million shares divided by 19 more placees for an average of 647.000 per placee.
We don`t know if any one of them bought much more or much less,but still leaves 12.3 million out there.

The standard or common Agent`s fee is normally around 6%, Global Maxim got a bit less but also got 1.377.000 warrants at an exercised  price of ten cents for a period of two years.
I would say it`s a nice gamble on them for no expense or risk on their part at all.
On their Reports they declare that they own a minimum of 1% of the Co shares
And ever since GM has been buying shares for a net of 3.250.000 (excluding the gypsy trades).

I or we assumed that maybe they were buying for the Caisse, which still could be tha case, if they are buying for themselves they have accumulated a fair position ,that`s not counting them as one of the placees (which could easily be the case) and if they are one of the placees they could be in a much better position which would be increased by the conversion of their warrants from the Agent`s fees. All IMHO.

Assuming again the Caisse with their shares and their warrants exercised joining forces with GM things could get steammy.
