Nilyab, I could not agree more that many CEO's are grossly overpaid.  More importantly, many are also serious underachievers.  Unfortunately, many in corporate mgmt are all talk and very little action, often getting there because of their ability to schmoooze and very little else.  They would undoubtedly not agree but to that I say....prove it....get something done.  You are correct in that most shareholders don't bother to vote, primarily because they do not believe their vote will make a difference.  However, your vote does not automatically default to vote with mgmt.  That would happen only if you send in your proxy and you do not make a direction to vote.  In that case your "proxy will be voted as recommended by Management".  If a shareholder does nothing, then his vote will not register.
