In Layman's Terms

Can someone explain what this Private Placement does? I think it adds 8.75 million shares to the outstanding shares at the closing. How do these Debentures work? And basically what are they at $1000 a piece per convertible? Obviously with the premarket at 3.50 and PM Trudeau set to make an announcement on Thursday its not going to have an effect at this time. Any thoughts? Hope we have another Skyrocket in Flight today. GLTA
