CP has until 5:00 PM today to sweeten their offer, or convince KCS that their offer is superior.  If they can't, then CN is the successful bidder.  Does that mean it's a done deal?  No, not necessarily.  The US Surface Transportation Board, the Federal Trade Commission, and the Department of Justice all could halt the deal for cause.

They already called em and folded their hand. They are out. Its all in CNR's ballpark now.

While i believe KCS will in the end accept the CN bid, the link below is the letter sent today by CP to KCS BOD.  The ball is still in KCS court though.  They could, while doubtful, decide to take the CP offer instead. https://www.cpr.ca/en/media/cp-calls-on-kcs-board-to-reject-cns-anti-competitive-proposal

Both deals are rather good for KCS, The CN deal has more short term upside, but long term those shareholders will do well with either company if the takeout goes forward. I think the deal is more about CN/CP being able to grow their operations effectively. If CP loses there are other targets that might become available to them on either half of the states apparently according to on analyst I ...more
