RE:RE:CTH preparing for a takeoverManagement's action lately  is not taking into consideration the immediate impact to the stock price and vesting 1 /3 of the stock options immediately. I have seen this in the past when compagnies are in the process of selling. They don't have the funds to bring their products to market so their best option would be to sell the company to large entity and reap the benefits immediately.
