$72M finder's fee payable to Cinven

That is in an official Sedar filing dated November 10th 2015.  Titled "Business Acquisition Report"  Page 2.

Small short - this is a mess without any added BS.  The finders fee is NOT payable.  The transactions did not go through.  CXR leadership is at fault - conspiracy theories will emerge when cryptic Sedar disclosures are made. Thanks you rad10. Sorry for your loses.  Seems a lot of people got fooled by this bad Amco acquisition (bad for Concordia shareholders but great for Cinven).  And to make matters worst, the previous large acquisition was just as bad with that massive surprise write off on significant portion of the portfolio just 18 months after acquisition.   As for the $72M finders fee, it's ...more

To recap, the shorts are contending that a $72M  finder's would be payable for a 28M GBP pound transaction the company completed a few months ago.  Repeat that a few times and please and then try to restate the below with a straight face.  The fact that this would have been triggered and not disclosed would be outrageous.  The fact that the Board would have approved such a ...more

Lumber, I don't think you understand me.  I am not saying any transaction has triggered the $72M additional payment.  I'm saying it's in the contracts and Concordia has not disclosed whether or not it has been triggered. If there is talk that given what we know, it might have been, why wouldn't the company disclose this? It seems they need all the read, tangible good ...more

Finder's fees are generally in the 1 to 2% range.  That means for a finder's fee to have been triggered you would be looking at a transaction in the Billions of dollars.  No need to disclose anything just becuase the short and distort gang are using it here.  Not Triggered End of discussion.

I agree lumber, when you are dealing with a normal company. This is not a normal company. Normal companies will also address shareholder concerns by addressing any outstanding items. The triggering (or not) of the $72M finder's fee is an outstanding item.  It was disclosed many times in regulatory filings.   Now, they have to "put it to bed".  Why not spend the few ...more

Nothing projects confidence and credibility more than desperately trying to peddle some or all of the assets belonging to the most contentious acquisiion in Canadian pharma history.
