It has a much lower premium and much greater buffer for dividend eligibility. Personally, the premium is too high for both funds to my liking, but FTN seems to be the safer bet while offering a higher yield. The most significant benefit DFN offers is its diversified portfolio.
Earlier, I suspected a possible offering, but I realize now that with the preferreds trading below the $10 par value, DFN is safe from an offering for the forseeable future.
