Medical Facilities Corporation is a Canada-based company, which owns a diverse portfolio of surgical facilities in the United States. The Company owns interest in four specialty surgical hospitals (SSHs) located in Arkansas, Oklahoma, and South Dakota, and one ambulatory surgery centers (ASC) located in California. ASCs are specialized surgical centers that only provide outpatient procedures, whereas SSHs are licensed for both inpatient and outpatient surgeries. The SSHs and ASC provide facilities, including staffing, surgical materials and supplies, and other support necessary for scheduled surgical, pain management, imaging, and diagnostic procedures. In addition, two of the SSHs provide urgent care services. MEDICAL FACILITIES CORPORATION ANNOUNCES SALE OF AMBULATORY SURGERY CENTER

Medical Facilities Corp. has entered into a definitive agreement to sell its interest in Two Rivers Surgical Center to two of the managing physicians for an undisclosed amount. Medical Facilities acquired interest in this ambulatory surgery center ("ASC") through a joint venture with NueHealth, LLC in early 2018.

"The sale of our interest in Two Rivers Surgical Center allows us to focus our attention and capital on our current strategic initiatives," said Robert Horrar, President and CEO of Medical Facilities. "The overall direction of this ASC had changed considerably since our initial investment and we believe our focus should be directed at other growth opportunities we see in the ASC space, including de novo ASC development, like the recently opened St. Luke's Surgery Center of Chesterfield."
