Yes either the Vantive spin-off or the non-competitive divisional sell-off, will raise capital for two purposes :

1. debt reduction 
2. take-overs of some higher margin businesses ( like say, idunno the NA rights to PMX) 

If the sell-off becomes a more lucrative option than the spin-off option, then they will go for that and then there will be that much more money for objective #2 

I'm pretty sure that this idea didnt just occur to Baxter in the 2 weeks since recommitting to Spectral and locking up the rights for longer.
