I've seen tons of these small companies go private and here is how it happens. No one is going to buy this out on the open market and pay ANY premium. They dont have do. They can privately buy the shares of all the insiders, have a magority, and then vote to go private for NO PREMIUM whatsoever. Its happened many times before and it will happen again. Also, insiders will be happy to cancel the dividend so the remaining shares cant be taken dirt cheap. Look up Art In Motion income fund for a perfect example of this. No one was charged, no one went to jail, shareholder got hosed completely by insiders and a single large buyer who then just took the real estate and sold remaining production to China.
