Voya Asia Pacific High Dividend Equity Income Fund (the Fund) is a diversified, closed-end management investment company. The Fund’s investment objective is total return through a combination of current income, capital gains and capital appreciation. The Fund seeks to achieve its investment objective by investing primarily in a portfolio of dividend yielding equity securities of Asia Pacific companies. The Fund will seek to achieve its investment objective by investing at least 80% of its managed assets in dividend producing equity securities of, or derivatives having economic characteristics similar to the equity securities of Asia Pacific Companies that are listed and traded principally on Asia Pacific exchanges. The Fund will invest in approximately 60-120 equity securities and will select securities through a bottom-up process that is based upon quantitative screening and fundamental analysis. Voya Investments, LLC is an investment adviser of the Fund.

Compulsory Acquisition

Compulsory Acquisitionor Subsequent Acquisition Transaction DOES NOT EXIST. Ithaca Circular: Page 11 in bold letters - "There is NO obligation on the Offeror to complete a Compulsory Acquisition or Subsequent Acquisition Transaction to acquire all the Common Shares. Under the terms of the Support Agreement, there is no obligation on Delek to undertake or ensure the Offeror undertakes a Compulsory Acquision ..... to acquire the remaining shares. The Offeror has the reserved right not to propose a Compulsory Acquisition or Subsequent Acquisition Transaction." Delek Circular: Page 11 - "In accordance with applicable laws and IF at the Expiry Time the Offeror is obligated to take up securities validly deposited, the Offeror will extend the Offeror the Mandatory Extension Period. The Offeror MAY also extend the Offer for one or more Optional Extension Periods." In summary, Delek MAY extend the Offer but ARE NOT obligated to do so. That's my interpretation. Mugs
