That "someone" is the Office of the Superintendant of Financial Institutions.  As Alberta noted there was "clear abuse"  and clearly BMO Nesbitt was complicit in the nefarious deal.

BMO is a federally chartered bank and OSFI has ample jurisdiction. 

Perhaps you were not able to complete a thought because  "shares vote" doesn't make sense.
