The selling stockholder acquired the shares of Common Stock from us on October 13, 2023 in connection with our acquisition of all of the issued and outstanding share capital of 1000652011 Ontario Inc., an Ontario corporation, from the selling stockholder. The selling stockholder may from time to time offer and sell pursuant to this prospectus supplement any or all of the shares of our Common Stock being registered."
