Manson legacy

Cxb is buying approx 66,600,000 shares at 40 million, then taking over MOZ. 
Moz has 71 million cash + 244 million restrictioned cash.
Seems to me that MOZ just gave Cxb  $40 million to buy the shares equal to about 14.5% ownership and then gave them the company plus 30 million cash for a deal that doesn't even guarantee us a fixed share price.... The only thing Moz gets out of this deal is getting rid of Manson.
I haven't read any comments about Cbx management. Any past experience with these guys?
