Pumpkin Hollow is located approximately 8 miles southeast of the small town of Yerington, Nevada in Lyon County, one- and one-half hours drive southeast of Reno. Clarity on NCU Circular

Clarity on NCU CircularHi
Long term investor with NCU, not a lot of shares left. Got stuck with these back in 2014. Found the recent circular referring to PALA and "disinterested shareholder Approval very confusing." 

Can anyone explain what is going on in english, and as I assume I just sit back and pray it goes up? Should I be doing anything in regards to the meeting.
