A partnership must file an annual information return to report the income, deductions, gains, losses, etc., from its operations, but it does not pay income tax. Instead, it "passes through" profits or losses to its partners. Each partner reports their share of the partnership's income or loss.
i just find it odd they went out of their way to state their business relationship was not to be construed as a partnership and then in another place said it was.
seems like public companies are asking for trouble to just throw out colloquial comments.
