RE:RE:RE:RE:RE:RE:RE:New office posted on websiteyou posted: "
Delaware Registered Agents are responsible for receiving and forwarding legal documents and correspondence from the Delaware Division of Corporations to clients in a timely fashion and nothing much more. Oncolytics Biotech already a Delaware registered agent for that purpose." the fact is that oncolytics biotech is not registered in delaware either as a corporate entity or a registered agent.
while it is possible to be one's own registered agent as you suggested in your post, that is neither the case with oncy nor obus. obus has a registered agent which is neither itself or oncolytics biotech. therefore, obus would not need a "physical" office in the u.s. which is not splitting hairs.
also, as posted in oncy's annual report: Our agent for service in the U.S. is Registered Agent Solutions, Inc., 838 Walker Road Suite 21-2 Delaware 19904. the same registered agent used by obus. you also posted: ONCY is registered as Oncolytics Biotech (US) Inc. - a US company which is corporately registered in the State of Delaware. As a result of being registered as a US company, ONCY must keep a corporate headquarters in the United States. that is incorrect on at least two points. as noted in oncy's annual report: ONCOLYTICS BIOTECH INC.
(Exact name of Registrant as specified in its charter)
Province of Alberta, Canada
(Jurisdiction of incorporation or organization)
804, 322 11th Avenue SW, Calgary, Alberta, Canada T2R 0C5
oncolytics biotech is NOT registered as oncolytics biotech (u.s.), inc. obus is not the same entity as oncolytics biotech. obus is a subsidiary of oncy, it is not the same as oncy. obus is its own legal entity.
those legal differences are not splitting hairs, they are facts which make a difference. there are no alternate facts regarding these matters.
oncolytics biotech is not registered in delaware and neither is oncolytics biotech (barbados), inc.
you act as if you were to state the sun rose in the west and set in the east and were corrected that the sun actually rose in the east and set in the west that correction would be nothing more than splitting hairs.
there are absolutes in this world. it's possible to come to different conclusions starting from the same fact set, but that is not what this is.
