DSU and RSU

Hello,

Was looking at the financials.   We have 40 millions (DSU/RSU) vested for 2020.   So the way I understand it,  Sherrit will have to pay 20 millions DSU * share price  and 20 millions * share price but ajusted for stock performance and company performance.
The note on the financials indicated that most are vested.
Question,
A) Date
At what date is the stock price calculated.   From management information circular, it appeared to be be around February 22. (5 days moving average).  Is this correct ?
B) RSU
     Pretty sure that they will earn 100% of company performance.  
     What is the basis for the share price ?

Yes last 5 trading days of Feb.  16 cents I believe.

Thanks, Just so I understand correctly, A) Expiry of 2020s So, they expire on February 22 2023 and then management get paid. B) DSU Are they getting paid on the differential between the share price at date of issue and the share price at expiry or they are getting paid 100% at share price at expiry ? Honestly, whenever I see 5-6 pages in management circular to explain a compensation ...more

Hi, Was refering to the management information circular which is avalaible on their website. Compensation is covered from page 36 to 73, sorry more than 5 or 6 page.  Seeing the effort made on this compared to their market cap of roughly 200 M right now, I would typically stay away from a company like this.    Actually, 2 pages are important : page 66 where you see total ...more

Hey Verificate, As I mentionned, lets hope that management does not piss away the cash flow. BTW while interest saved have a net impact on net income and more importantly on cash flow, its does not have any impact on EBITDA. GLTA

Nice to see some good analysis on this board finally. to give our 20% of your market cap in executive compensation in one month is quite absurd. We will see what March brings. as for the new CEO, I agree that seems to be much better than the previous. However I still think there is a fundamental shift that needs to occur. Well said! As a noteholder and a shareholder I totally agree with you.  Who is going to lead the proxy fight to replace the board of directors? Perhaps the folks who own just under 10% of the shares that Contrarian has alluded to? There is still plenty of time to organize prior to the upcoming 2022 AGM, though the clock is ticking.

Why exactly?  Why capitulate entirely? The board could easily have two less seats on it for example. The way these people renunerate themselves this could have significant savings. We are no longer a conglomerate with multiple lines of profitable business. We just have one Phoenix slowly rising from the ashes. That's it that's all. Yes we sell some bi-products. If this mysterious 10% owner is Contrarion or cut from the same cloth then it will be business as usual.  Contrarion once believed that Sherritt had the ability to service both its public debt and Ambatovy and thought the company was a good buy at $1.50.
