I certainly agree with you that if there is a deal for a buyout accepted by management and major shareholders then I would really like it to be a share deal. Of course I feel that it is worth a lot more than $1.70 and would not want to sell at such a low price.

If I am forced to sell out to an acquiring company via a share deal I could benefit from the tax treatment so that I was not forced to pay tax on my capital gain in the year of the transaction. This would lead to my being able to choose for myself if I wished to  (after the deal becomes a fact and I hold shares in the purchasing company) remain as a shareholder in the acquiring company. which would get the benefit of the Technology of the pouch.
