It's beyond me that people posting on this board, adults all of them I presume, can be so naive. Never mind what the theory says about duties and responsibilities of corporate directors.
FYI > the reality is something else altogether, in case you haven't noticed. In real life, directors see as their first and foremost duty to hang on to a cushy source of income by never rocking the boat, ie., proposing motions that might frighten the horses [CEO and fellow directors] and jeopardize their own tenure.  
If you haven't caught on to the facts of corporate life at this stage in your life then you really have a problem and should stay away from a game that is stacked against retail suckers like us.
