Hmmmmmmm......Options & Acquisitions - Tax impact of Timing

Cash out your options or awards

The actual amount you could receive will likely depend on your current exercise/strike price, the new price per share, or any other payment terms negotiated by the firms. But the effect will be the same: to liquidate your equity position.

Planning note: If you have vested incentive stock options, you’ll want to consider the pros and cons of exercising before the deal closes. When unexercised ISOs are cashed out at closing, it’s considered a cancellation of stock options for tax purposes, not a disqualifying disposition. This is important, as the former will be subject to payroll tax. Exercising shortly before the deal closes can prevent this from happening.

Often when insiders exercise options they sell enough shares on the open market to: a)  fund the purchase of the shares b) pay tax on the gain I'm assuming exercising is done early in the year to defer tax until the following year.

Hey, I agree with you!  Engquist has only been with the company for a short time and will most likely become very rich at our expense. I'm hopeful that he is instrumental to the success of Casino and we all ultimately benefit. That is the responsibility of management to maximize shareholder value.

Pine and Marine and Sooner and Clarke, All of your comments are great and add to our pool of knowledge to try to understand what is going on. There are still so many things we don't know (such as the expiry date of their options), which makes it very hard to know for sure what is happening. I thought of the point one of you brought up re why don't we see PWS selling options if my scenario ...more
