I'm not sure if you have the capacity to understand that, but seemingly your language and name calling is belittling of your point and highly dilutive of the odd good post you present.
Whist I absolutely agree with Molly on the fact that Martin comes across as a nice guy and was over his head pretty much from the start, the FACT remains that on more than one occasion he put his name to disclosures that were legally not possible from the start and some completely false.
People that create falsehoods that are used to convince shareholders that they are investing in something that was not and still is not legally, are in the opinion of the courts and like minded people, either stupid or conmen. As we know on more than One occasion the company has been challenged by shareholders and the company had responded. Therefore stupid is removed from the equation.
Many are stating it doesn’t matter we now have PATSACN X , Y , Z. This matter of false disclosure involves the raising over $50 Million USD on a complete lie to shareholders and capital markets, regarding the PATSCAN CMR FCC Certification. Then for the company to then carry on the lie for close to three years is utter repugnance.
This was NO simple misjudgement.
In this situation a CEO and the Ex, and certain current board members would therefore be in the legal crosshairs for:
Malfeasance is the willful and intentional action that injures a party. ( Shareholders expectations through a deliberate lie regarding a federal certification that did not exist for the use or have the market reach as specified in the public press release that declared it so. Loss is deemed as injured in law)
Misfeasance is the wilful inappropriate action or intentional incorrect action or advice. ( this was committed by the issue of the physical press release)
Nonfeasance is the failure to act where action is required— wilfully or in neglect. ( Timely disclosure that the PATSCAN CMR FCC was bogusly promoted)
Canaccord are likely pretty much now on the hook now as a result of this as they really only had to check one certification against one press release. So willfuly or in neglect, they are likely now liable for the losses of all people that bought in on those > $2 rounds.
When you consider that is USA and Canada, plus a Certificate from the Federal Government or the USA used inappropriately, as well as Industry Canada for that matter this becomes a game of dominos and this isn't simply just cease trade and fines territory.
