I continue to understand your frusteration and your posts are examples of someone who has been deeply  wronged.  

The points you raise are very good.  It appears suspect that the management team is staying on with the NewCo.  It appears that the Deb holders are getting the shaft and it seems that there may have been other options out there with better potential for shareholders at the expense of management. 

If you believe these things to be true, vote No and see what happens. 

As it stands now, the market knows exactly how much TBE is worth and there has yet to be anyone throwing in another offer.  This should be telling to any casual observer as if there is no competing offer before Aug 10 then there is no additional upside for any stakeholders. 

At which point, a Yes vote seems to be the best outcome for all parties.
