Tax loss asset in TBE

Tax loss asset in TBEOldfart,
Maybe you are sarcastic about the "questionable" tax loss asset but this is possibly a relevant topic for the remaining TBE shell going forward or for other investments.
When I initially looked at TBE, I did not allocate any value for the deferred tax asset even if it was large. I figured though that the NOL carryforward could have value for an acquirer who could apply this against other profitable operations (think Reignwood). After the majority no vote, I did not allocate any value to this asset. I understand that strict fiscal rules restrain the recovery of those tax assets when they are stripped of the other relevant assets. I would like to learn more here. Do you (or others) have a specific example in mind where a company shell with  tax assets was purchased in such as a way as to allow recovery of the tax assets after. I am trying to figure out some kind of discounting factor (amount and timing) to theses assets when relevant. Thank you.
