Jack I don't disagree...but the point is that

a) the AGM vote reported on June 17 puts all the board members back in their seat
 - including Ogsby
b) the vast majority of the votes come from the RH backers, so they  approved the board, including Ogsby...so it seems that RH gang does not object to his presence on the board

c) we got a recent Director appointment  (however good his background may be) without any news of a previous director departing...which would mean a Board of 10.
d) adding one seat to the Board must be approved by AGM or Special AGM vote...even though we know that any vote will go to RH's liking since they own the majority.

So either one of the board members is no longer in his seat and they have not announced it...or else there is a technical point about the company governance that they have not dealt with properly.

Or else I missed something and stand to be corrected.

However big, knowledgeable and powerful RH reps on the board may be, they have a feduciary duty towards all shareholders, and not just  themselves. That<s why they have those rules. I know Gerry reads this board (and possibly posts here)...over to you. ;-)
