Your math is wayyyyyyyyyyyyyyyyyyyyyyyy off.
1. market cap for BTR is $103 m ...
2. after the take over  it will be  52% BTR 48% MTO !!! So where did you get the $75 m ???
3. You didn't account for Spinco !!!

I will be very surprised if MTO  finishes the day with more than a plus .05 ...
Unless BTR has a good day: after all MTO and BTR are linked ...
