Louis Dreyfus is constrained by a written convenant with MMB which restricts LD's beneficial ownership of Baja Mining Corp. shares to 19.9% of Baja issued and outstanding shares.

 

What happens if LD goes out and buys enough Baja shares on the open market (at 25¢), to take its Baja position directly to 19.9%?  Would this mean that Baja would not be able to execute its cost overrun facility with LD? 

 

Layers and layers of lawyers.  This is turning into an MBA case book study project.
