RE: Vote NO!It is reasonable for investors to have information to make their decsions on, possibly your responses are correct,if the break up fee goes to CIT that is fair, however this seems unclear. If one looks at many friendly takeovers with management and boards usually a company makes a bid premium to the market, in return they get a fee if another bidder bids higher and they choose not to out bid the higher bidder. If this is correct? you are saying that if a higher bid comes in then the current bid CIT does not have to pay a fee to the current bidder? This helps in the decsion making process if you are correct. Next is their flow thru funds from previous financing, if their are where are they? The asset values of the last statement per comments posted may not reflect the values now? If the current bid is the best then that is the way it goes, however investors should understand many details so they can make their decsions?
